1. Acceptance of Terms
By accessing or using Velosites ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Service
Velosites provides custom-built website, online shop, and web application development, hosting, and management services. Our services include:
- Custom website design and development (Next.js)
- Online shop / e-commerce development
- Custom web application development
- Domain name search and connection
- Professional email (Titan Mail)
- Managed hosting on private Australian VPS (Docker containerised)
- SSL certificates, SEO setup, and ongoing maintenance
3. Account Registration
To use our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Pricing, GST & Billing
Our services are provided on a subscription basis (monthly or yearly). By subscribing, you agree to:
- Pay the applicable fees for your selected plan
- Automatic renewal at the end of each billing period (monthly or yearly)
- Provide accurate billing information
- Notify us of any changes to your payment method
4.1 Prices & GST
All prices displayed on the Velosites website and marketing materials are in Australian Dollars (AUD) and exclude GST. Goods and Services Tax (GST) at the applicable rate (currently 10%) is added at checkout for Australian customers, in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
4.2 Setup Fees
Setup fees may apply depending on the plan selected. Where a promotional offer waives setup fees, the waiver is valid for the duration stated in the promotion. Standard setup fees are listed on the pricing page.
4.3 Yearly Billing
Yearly billing is available at a 10% discount over the equivalent monthly pricing. Yearly subscriptions are billed annually in advance for the full 12-month period.
5. Cancellation & Refunds
5.1 Cancellation
You may cancel your subscription at any time through your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period (monthly or yearly). There are no cancellation fees or penalties.
5.2 Refunds — Monthly Plans
Monthly subscriptions are non-refundable for the current billing period. Access to the service continues until the end of the period.
5.3 Refunds — Yearly Plans
If you cancel a yearly subscription within the first 30 days, you may request a pro-rata refund for the unused portion of the subscription period. After 30 days, yearly subscriptions are non-refundable for the remainder of the annual period. Access continues until the end of the paid period.
5.4 Australian Consumer Law
Nothing in these terms limits or excludes any consumer guarantees or rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). If our services fail to meet a consumer guarantee, you are entitled to a remedy (including a refund, replacement, or compensation) as provided under the ACL. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.
6. Intellectual Property & Codebase Ownership
6.1 Your Content
You retain ownership of all content you provide (text, images, logos, branding materials). You grant us a licence to use this content solely for the purpose of delivering our services.
6.2 Website Codebase
During an active subscription, we grant you a non-exclusive, non-transferable licence to use the website or application we build for you, hosted on our infrastructure.
6.3 Codebase Download (Yearly Plans)
After 12 months of continuous payment on a yearly billing plan, you may request a full ZIP download of your website or application codebase. This codebase is yours to keep, even if you subsequently cancel your subscription. The codebase download includes source code, assets, and configuration files specific to your project. It does not include our proprietary platform tools, deployment infrastructure, managed hosting, or third-party API keys/credentials.
6.4 Our Intellectual Property
We retain ownership of:
- Our proprietary platform, tools, systems, and methodologies
- Generic code libraries and frameworks developed by us
- The Velosites brand, name, and platform
- Deployment and hosting infrastructure
7. User Content & Acceptable Use
You are responsible for all content you provide. You warrant that you have the right to use such content and that it does not infringe on any third-party rights. You agree not to use our services for:
- Any illegal or unauthorised purpose
- Content that is harmful, threatening, or discriminatory
- Activities that could harm our systems or other users
- Spamming or unsolicited communications
8. Service Level & Support
We target 99.9% uptime for our hosting infrastructure. Support is available during Australian business hours (9am–5pm AEST, Monday to Friday). Priority support add-on customers receive a 2-hour response time guarantee during business hours.
We do not guarantee 100% availability and are not liable for downtime caused by factors beyond our reasonable control, including network outages, third-party service failures, force majeure events, or scheduled maintenance (which will be notified in advance where possible).
9. Limitation of Liability
To the maximum extent permitted by law (and subject to Section 5.4 regarding consumer guarantees), Velosites shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising from or related to these terms is limited to the total fees paid by you in the 12 months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your account for material violation of these terms, after providing reasonable notice and an opportunity to remedy the breach where practicable. Upon termination, your right to use the service ceases at the end of the current paid period.
11. Privacy
Your use of our services is also governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
12. Changes to Terms
We may update these terms from time to time. We will notify you of material changes at least 14 days in advance via email or through the platform. Continued use of the service after the notice period constitutes acceptance of updated terms.
13. Governing Law & Disputes
These terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Before commencing legal proceedings, both parties agree to attempt resolution through good-faith negotiation.
